Creating Zendesk Marketplace apps: integrations and applications created or developed by Zendesk or its affiliates and made available in the Zendesk Marketplace (available under www.zendesk.com/apps available) under this Agreement, unless Zendesk provides you with another agreement at the time of your availability or access to integration or application. 7.1 In accordance with our agreement with the reseller (the “reseller contract”), we are entitled to suspend or terminate your subscription for the service, your rights to access and use the service or your account, and to delete and reject all service data if: a) we are informed by the reseller of your non-payment of the amounts due to the reseller with respect to your subscription; or b) the reseller does not pay the money we are paid under the reseller agreement regarding your subscription to a service. You accept these suspension and termination rights and acknowledge and consent that Zendesk assumes no responsibility to you for such a suspension or termination. Their only recourse to such a suspension or termination is against the dealer. 3.1 Subject to the express authorizations of this Agreement, each party protects the other party`s confidential information from unauthorized use, access or disclosure in the same manner as each of its own confidential information, but with due diligence. Unless expressly authorized by this Agreement, each party may use the other party`s confidential information exclusively for the exercise of our respective rights and to fulfill our obligations under this agreement and to transmit this confidential information (a) exclusively to staff and/or non-employee service providers and service providers who must be aware of such confidential information for such purposes and who are required to respect the confidentiality of such confidential information and not to use it; (b) if necessary, to comply with an order or summons of an administrative authority or competent court; or (c) as is reasonably necessary to comply with applicable legislation or regulations. The provisions of this section 3.1 replace any confidentiality agreement between and between the parties, and this agreement no longer has any effect or effect. Confidential information: refers to any information that you will share with Zendesk or Zendesk and that is available in tangible form and identified as “confidential” (or of a similar caption) or that a reasonable person would consider confidential given the nature of the information and circumstances of the disclosure, including, but not only, information relating to Zendesk`s security policies and procedures.
